Claremont Cowork – Membership Terms & Conditions

These Membership Terms & Conditions (“Terms”) govern all memberships, mailbox services, day passes, and use of the facilities operated by Opus Joint Ventures, LLC, a California Limited Liability Company doing business as Claremont Cowork (“Space”), located at 987 W. Foothill Blvd., Suite 202, Claremont, California 91711. By purchasing a membership, mailbox service, day pass, or accessing the Space, you (“Member”) agree to these Terms.
Membership grants a revocable license to use the Space and its amenities. This license does not create a lease, tenancy, landlord-tenant relationship, or any possessory interest in real property. No exclusive possession is granted except where expressly designated under a dedicated workstation plan. The Space retains full control of all premises and may reconfigure, relocate, modify, or restrict access at its discretion.
Memberships are sold in six (6) month terms and automatically renew for successive six (6) month terms unless terminated with at least thirty (30) days written notice prior to renewal. Membership fees are billed monthly and must be paid on time. Failure to pay within five (5) days of the due date may result in suspension or termination of access. The Space reserves the right to terminate membership for breach, misconduct, non-payment, illegal activity, operational necessity, or violation of community policies. If termination is not due to Member misconduct, prepaid unused fees may be refunded on a prorated basis at the Space’s discretion.
Access hours and amenities vary by membership tier and may be modified at any time. Internet, utilities, and shared amenities are provided as a convenience and are offered “as is” without guarantee of uninterrupted availability, speed, or suitability for any particular business purpose. The Space shall not be liable for business interruption, lost profits, data loss, or consequential damages.
No guests are permitted without a valid paid day pass issued by the Space. Members are fully responsible for the conduct of their guests. Access credentials, keys, codes, or fobs are non-transferable and may not be shared. Unauthorized access or credential sharing may result in immediate termination.
Members agree to conduct themselves professionally and lawfully and to comply with all Community Guidelines and posted House Rules. Prohibited activities include illegal conduct, harassment, discrimination, hazardous materials, residential use of the premises, disruptive behavior, and misuse of facilities. The Space reserves sole discretion in enforcing these policies.
Members are responsible for their personal property and the property of their guests. The Space is not responsible for lost, stolen, or damaged items. Members are encouraged to maintain their own general liability and property insurance. To the fullest extent permitted by law, the total aggregate liability of Opus Joint Ventures, LLC and its owners, managers, employees, and agents for any claim arising from membership or use of the Space shall not exceed the total membership fees paid by the Member during the three (3) months immediately preceding the event giving rise to the claim.
Members agree to indemnify, defend, and hold harmless Opus Joint Ventures, LLC from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorney’s fees, arising from Member’s use of the Space, violation of these Terms, or the conduct of Member or Member’s guests.
Claremont Cowork operates mailbox services as a Commercial Mail Receiving Agency (CMRA) in compliance with applicable United States Postal Service regulations. Mailbox Members must complete USPS Form 1583 and provide required identification. Mail services are subject to USPS rules, which shall control in the event of any conflict. The Space is not responsible for lost, stolen, delayed, or misdelivered mail or packages, nor for sensitive information contained therein. The Space will not accept hazardous materials, illegal substances, perishables, or oversized shipments exceeding 50 pounds. Excessive package volume inconsistent with the selected mailbox plan may result in additional fees, required plan upgrades, or termination of mailbox privileges.
Mail and small packages may be held for up to fourteen (14) days. Items left beyond that period may incur storage fees or be returned to sender. Upon termination of mailbox service, forwarding may be available for up to six (6) months or the minimum period required by USPS regulations, whichever is less, subject to a postage deposit. Forwarding ceases when the deposit is exhausted or the time period expires. Thereafter, mail may be marked “Refused – Return to Sender,” returned, or destroyed at the Space’s discretion.
The Space shall not be liable for failure to perform due to events beyond its reasonable control, including natural disasters, utility outages, internet disruptions, government actions, building closures, or other force majeure events.
Any dispute arising from these Terms or from the use of the Space shall be resolved through binding arbitration conducted in Claremont, California in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Each party shall bear its own attorney’s fees unless otherwise awarded. Either party may bring claims within the jurisdictional limits of Small Claims Court in Los Angeles County, California. Members waive any right to participate in class or representative proceedings.
If a Member registers as a business entity, the individual executing the agreement on behalf of that entity personally guarantees payment obligations.
These Terms are governed by the laws of the State of California. The Space may update these Terms at any time, and continued use of the Space constitutes acceptance of the updated Terms.
By purchasing or using services at Claremont Cowork, Member acknowledges that they have read, understood, and agreed to these Terms & Conditions.
